U.S. ARMY VEF
VETERAN EXPEDITIONARY FORCE, INC.
The name of the organization is the U.S. ARMY VEF (VETERAN EXPEDITIONARY FORCE, INC.). The Corporation is organized exclusively for charitable, educational, and community service purposes as specified in Section 501(c)(3) of the Internal Revenue Code, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. The specific purposes of the Corporation are to honor veterans of World War 1 and all other armed conflicts, to assist all veterans and their families in need; to provide volunteer disaster education and preparedness, response and relief; to participate in missions of community service; to assist governmental and non-governmental agencies when necessary; and to assist those in need after natural or man-made disaster.
The Corporation shall not be conducted or operated for profit and no part of the net earnings of the Corporation shall inure to the benefit of any individual, nor shall any of the profits or assets of the Corporation be used other than for the purposes of the Corporation. This corporation is exempt from taxation under § 501(c) (3) of the United States Internal Revenue Code or any similar provisions of the Internal Revenue Code.
This incorporation shall at all times remain under the jurisdiction of, and be governed according to, the By-Laws of the U.S. ARMY VEF (VETERAN EXPEDITIONARY FORCE, INC.). In the event that any provision of this Certificate of Incorporation conflicts with the By-Laws of the U.S. ARMY VEF (VETERAN EXPEDITIONARY FORCE, INC.), such conflicting provisions shall be deemed null and void, and the By-Laws shall, at all times, govern. In addition, the organization shall have the right to charter chapters and govern their formation, operation and dissolution.

ARTICLE III
OFFICERS
Section 1. Number of Officers. The officers of the organization shall be a Commander, Deputy Commander(s), Financial Officer or Treasurer, and Secretary. Two or more offices may be held by one person. It shall not be necessary for officers to be directors of the Corporation. [BREAK]

Section 4. Authority to Commission Officers, Non-Commissioned Officers and Enlisted Members

The Board of Directors shall have authority, through provisions of the Constitution of the corporation, to issue volunteer military officer commissions to the Commander and Deputy Commander in the ranks in which it sees fit.

Pursuant to that same authority, the Commander shall have the authority to issue volunteer military commissions, non-commissioned officer grades and enlisted member grades pursuant to the Rules and Regulations then in existence. [BREAK]

ARTICLE VII

INDEMNIFICATION

Any director or officer who is involved in litigation by reason of his or her position as a director or officer of this organization shall be indemnified and held harmless by the organization to the fullest extent authorized by law as it now exists or may subsequently be amended (but, in the case of any such amendment, only to the extent that such amendment permits the organization to provide broader indemnification rights.
